Terms of Service for KopiAI

By downloading, installing, or using the KopiAI mobile application (the "App"), you agree to these Terms of Service (the "Terms"). If you do not agree, do not use the App.

These Terms are a legally binding agreement between you and KopiAI. Our Privacy Policy is incorporated by reference and also governs your use of the App.

1. Scope of Service

KopiAI provides AI-powered translation, text generation, and language-learning features. Services are delivered through the App and may rely on third-party infrastructure and AI providers.

2. Eligibility

You must be at least 13 years old, and any higher minimum age required by applicable local law, to use the App.

By using the App, you represent that:

• You meet the applicable age requirement;
• You have legal capacity to accept these Terms; and
• If required by local law, your parent or legal guardian has reviewed and agreed to these Terms.

If you use the App on behalf of an organization, you represent that you are authorized to bind that organization.

3. Access and Device Responsibility

KopiAI currently does not provide standalone KopiAI account registration/login. You are responsible for:

• Maintaining security of your device;
• Lawful use of the App from your device; and
• Any activity performed through your device.

4. Acceptable Use

You must use the App lawfully and must not:

• Use the App for illegal, abusive, or fraudulent purposes;
• Upload or submit unlawful, hateful, defamatory, threatening, or infringing content;
• Attempt to reverse engineer, decompile, bypass security controls, or interfere with service operation;
• Use bots, scripts, or other automation in a way that harms service reliability or fairness;
• Violate the rights of others, including privacy and intellectual property rights.

We may investigate suspected violations and take appropriate action, including suspension or termination.

5. User Content

"User Content" means text, images, audio, prompts, and other content you submit to the App.

You retain ownership of your User Content to the extent permitted by law. You grant KopiAI a limited, non-exclusive, worldwide, royalty-free license to process User Content only as needed to provide, secure, and improve the requested service functions.

You represent that you have all necessary rights to submit User Content. You are responsible for User Content and for compliance with applicable law.

6. AI Outputs

AI-generated outputs may be inaccurate, incomplete, offensive, or unsuitable for your purpose. You are solely responsible for reviewing and validating outputs before use.

The App does not provide legal, medical, financial, or other professional advice. You must not rely on AI outputs as a substitute for qualified professional judgment.

7. Third-Party Services

The App depends on third-party services (for example, cloud providers, analytics providers, advertising providers, and AI providers). Those services may be governed by separate terms and policies.

To the extent permitted by law, we are not responsible for third-party service availability, performance, or content.

8. In-App Purchases, Subscriptions, and Billing

Certain features may be offered as paid products, subscriptions, or consumable items through Google Play Billing.

By purchasing, you agree that:

• Pricing, taxes, billing cycles, and payment processing are handled by Google Play;
• Subscriptions may auto-renew unless canceled before the renewal date in Google Play settings;
• You can manage or cancel subscriptions in your Google Play account settings;
• Refunds are subject to Google Play refund rules and applicable law.

We do not store full payment card details.

9. Privacy and Data Processing

Your use of the App is subject to our Privacy Policy. By using the App, you acknowledge processing of data as described in that policy, including processing required to provide AI and translation features.

10. Intellectual Property

The App, including software, design, branding, and non-user content, is owned by KopiAI or its licensors and protected by intellectual property laws.

Except as expressly permitted by these Terms or applicable law, you may not copy, modify, distribute, sell, lease, sublicense, or create derivative works of the App.

11. Service Availability and Updates

We may modify, suspend, or discontinue all or part of the App at any time to improve service quality, security, legal compliance, or operations.

We may update these Terms from time to time. For material changes, we will provide prominent notice in the App before the changes take effect (typically at least 30 days where feasible/required by law). Continued use after the effective date constitutes acceptance of the updated Terms.

12. Suspension and Termination

We may suspend or terminate your access if:

• You violate these Terms;
• Your use creates legal, security, or abuse risk; or
• We are required to do so by law.

You may stop using the App at any time. Sections that by nature should survive termination will remain in effect (including intellectual property, disclaimers, liability limits, dispute terms, and miscellaneous provisions).

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR RELIABILITY.

WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOPIAI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE APP.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE APP WILL NOT EXCEED THE GREATER OF:

• THE AMOUNT YOU PAID TO US FOR THE APP IN THE 12 MONTHS BEFORE THE CLAIM; OR
• USD 50.

Nothing in these Terms excludes or limits liability where exclusion is prohibited by applicable law.

15. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless KopiAI and its affiliates, officers, employees, and agents from claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of:

• Your use or misuse of the App;
• Your User Content;
• Your violation of these Terms; or
• Your violation of applicable law or third-party rights.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of Singapore, without regard to conflict-of-laws rules.

Any dispute, claim, or controversy arising out of or relating to these Terms or the App will be finally resolved by binding arbitration administered by the Singapore International Arbitration Centre (SIAC) under the SIAC Rules then in effect, unless prohibited by applicable consumer protection law.

The arbitration seat is Singapore. The arbitration language is English. Proceedings will be on an individual basis only; class or representative actions are not permitted to the extent allowed by law.

Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction for intellectual property or security-related misuse claims.

If arbitration is not enforceable in your jurisdiction, disputes will be resolved by courts with competent jurisdiction in Singapore, subject to mandatory consumer protection rights under applicable law.

17. App Store Terms

If you download the App from an app store (including Google Play), you acknowledge:

• These Terms are between you and KopiAI, not the app store;
• The app store is not responsible for the App or its support; and
• Your use of the App must also comply with applicable app store terms.

18. Miscellaneous

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force.

Our failure to enforce any provision is not a waiver.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, restructuring, or asset transfer.

These Terms and the Privacy Policy constitute the entire agreement between you and KopiAI regarding the App and supersede prior discussions related to the same subject matter.
